The study course provides an introduction to the legal principles that apply to corporate governance. Topics include the pillars of good corporate governance, applicable legislation, the structures of corporations and other limited liability organizations, the duties of directors and officers, and to whom such duties are owed, financial reporting responsibilities, the liabilities of directors and officers, the rights of shareholders, applicable security laws, how to reduce the risks of incurring personal liabilities including indemnification and insurance, cyberspace law and e-commerce, and governance issues underemployment, environmental and taxation laws.
